When duly appointed, an alternate or substitute director will, in the absence of the di-rector who appointed him, be entitled to perform all the functions of the latter. 適當地受委后，交替或后補董事在委任他的董事不在時(shí)，有權執行后者的所有職責。
In the event that the chairman is unable to discharge his responsibilities, he shall empower a vice-chairman or another director to represent the joint venture. 董事長(cháng)不能履行職責時(shí)，應授權副董事長(cháng)或其他董事代表合營(yíng)企業(yè)。
